Terms of Service

These Terms of Service govern your access to and use of the Duckscale AI agent platform. Please read them carefully before using our services.
1. Acceptance of Terms
By creating a Duckscale account, accessing our platform, or deploying any AI agent through our service, you agree to be bound by these Terms of Service ("Terms"). If you are using Duckscale on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use Duckscale. We may update these Terms periodically. Continued use of the platform following any updates constitutes your acceptance of the revised Terms. We will notify you of material changes via email or a notice on the platform.
2. Use of Service
Duckscale grants you a limited, non-exclusive, non-transferable license to access and use the platform in accordance with these Terms.
Permitted Use: You may use Duckscale to deploy AI agents for personal, professional, and business purposes that comply with applicable law and these Terms.
Prohibited Use: You may not use Duckscale to engage in illegal activities, harassment, spam, or any activity that violates the rights of others. You may not attempt to reverse-engineer, scrape, or extract proprietary components of the platform. Automated abuse of the API or agent infrastructure is strictly prohibited.
Account Responsibility: You are responsible for all activity that occurs under your account. Keep your credentials secure and notify us immediately at security@duckscale.ai if you suspect unauthorized access.
3. AI Agent Services
Duckscale provides access to specialized AI agents designed for specific personal and business tasks. You understand and agree to the following regarding AI agent services:
Nature of AI Output: AI agents produce outputs based on machine learning models and may occasionally produce inaccurate, incomplete, or unexpected results. Duckscale does not guarantee the accuracy, completeness, or fitness for any particular purpose of agent outputs.
Human Oversight: You are responsible for reviewing agent outputs before acting on them, particularly for consequential decisions involving finances, legal matters, healthcare, or other sensitive areas. AI agents are tools to assist you — not autonomous decision-makers with legal authority.
Agent Instructions: You are solely responsible for the instructions you provide to your AI agents. Instructions that cause agents to take actions that harm third parties, violate laws, or breach these Terms are your responsibility.
5-Day Deployment: Our stated deployment timeline is a target, not a guarantee. Deployment timelines may vary based on integration complexity, required customizations, and account configuration.
4. Payment Terms
Access to Duckscale is provided on a subscription basis. By subscribing, you authorize us to charge your payment method on a recurring basis.
Billing: Subscriptions are billed monthly or annually, depending on your selected plan. All fees are in USD unless otherwise noted. Taxes may apply based on your location.
Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. We do not provide partial refunds for unused time in a billing period.
Refunds: We offer a 7-day money-back guarantee for new subscribers. After 7 days, all charges are final except where required by law.
Price Changes: We may modify pricing with 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.
5. Intellectual Property
Duckscale IP: The Duckscale platform, including all software, AI models, agent templates, interfaces, branding, and documentation, is owned by Duckscale and protected by copyright, trademark, and other intellectual property laws. You receive no ownership rights to Duckscale's intellectual property.
Your Content: You retain ownership of data, documents, and content you upload or input into the platform. By using Duckscale, you grant us a limited license to process and use your content solely to operate and improve the service for you.
Agent Outputs: Outputs generated by your AI agents are owned by you, subject to any applicable laws regarding AI-generated content in your jurisdiction.
Feedback: If you provide feedback or suggestions about Duckscale, we may use that feedback without obligation or compensation to you.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DUCKSCALE AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.
In no event shall our total liability to you exceed the greater of (a) the amount you paid to Duckscale in the 12 months preceding the claim, or (b) $100 USD.
These limitations apply regardless of the legal theory on which the claim is based and even if Duckscale has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some limitations may not apply to you.
7. Termination
By You: You may terminate your account at any time by contacting support@duckscale.ai or through your account settings. Termination does not entitle you to a refund of prepaid fees.
By Duckscale: We may suspend or terminate your account immediately, with or without notice, if you violate these Terms, engage in fraudulent activity, or if required by law.
Effect of Termination: Upon termination, your right to use the platform ceases immediately. We may retain your data for up to 90 days after termination before deletion. You may request expedited deletion by contacting privacy@duckscale.ai.
Provisions that by their nature should survive termination, including intellectual property, limitation of liability, and governing law, will survive.
8. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any disputes arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction for matters involving intellectual property or unauthorized access.
You waive any right to participate in a class-action lawsuit or class-wide arbitration against Duckscale.
For users located in the European Union, nothing in these Terms limits your rights under applicable EU consumer protection laws.
